1. Introduction

Blackfox Property Pty Limited ACN 617 850 772 (“Blackfox Property”, “we”, “our” or “us”) provides this Investor Portal (the “Investor Portal”) for existing investors who hold securities in Blackfox Property and its related entities (“holdings”). We hold an Australian Financial Services Licence (AFSL No. 534974).

By accessing or using the Investor Portal, you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree with these Terms or the Privacy Policy, you must not use the Portal.

If more than one person (an “Authorised Person”) is authorised to access the Investor Portal on your behalf, you confirm that each Authorised Person has read and agreed to these Terms and the Privacy Policy.

2. Access to the Investor Portal

  • You are responsible for keeping your login credentials confidential.
  • You must not share your credentials. Notify us immediately if you suspect any unauthorised use.
  • You (and any Authorised Person) are responsible for all activity under your account.

3. Permitted Use

Through the Portal, you may:

  1. View details about your holdings.
  2. Access communications, statements, or documents issued by Blackfox Property and its managed investment schemes.

4. Accuracy of Information & Your Responsibility

  • Although we strive to ensure information is current and accurate, you should not rely solely on the Portal for decision‑making.
  • If you find errors or omissions, please notify us promptly.
  • You are responsible for all decisions made or actions taken based on Portal information, and you accept full liability for any resulting loss.

5. Disclaimer of Liability

To the fullest extent permitted by law:

  • The Portal is provided “as is, as available.”
  • Blackfox Property is not liable for any direct, indirect, special or consequential losses arising from your use, inability to use, reliance on, or errors in the Portal, including but not limited to:
    • Inaccurate or incomplete information.
    • Delays, technical faults, viruses, system outages.
    • Data or security breaches;
    • Unauthorised access arising from your account misuse.

6. Security

  • You are responsible for securing your credentials and preventing unauthorised access.
  • Notify Blackfox Property immediately if there’s any sign of compromise.
  • We implement security measures, but cannot guarantee complete protection of data transmitted over the internet.

7. Intellectual Property Rights

  • You are granted a limited, non-exclusive license to use the Portal under these Terms.
  • All intellectual property, including software, design, content, and brand elements, is owned by Blackfox Property or its licensors.
  • You must not adapt, reproduce, copy, publish, distribute, or create derivative works from the Portal without our written permission.

8. Privacy & Data Handling

Personal information we collect and process through the Portal includes:

  • Your identity (name, date of birth, contact, TFN, bank account, investor or tenancy history).
  • Information required for investor due diligence and compliance (e.g. AML/CTF).
  • For sophisticated or wholesale investor status verification.

We handle your data in accordance with the Privacy Act 1988 (Cth) and our Privacy Policy, which outlines:

  • Collection, storage, use, and disclosure of personal information;
  • Measures to protect and secure data;
  • Data breach procedures, including notifications (as per the Notifiable Data Breaches Scheme);

9. Indemnity

You agree to indemnify and hold harmless Blackfox Property, its officers, affiliates, and agents against all claims, losses, liabilities (including legal fees) arising out of:

  • Breach of these Terms or any applicable laws.

10. Changes to These Terms

We may update these Terms at any time. The updated Terms will apply from the date we post them on the Investor Portal. Continued use of the Portal constitutes acceptance of the revised Terms.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of Victoria, Australia. You agree to submit to the non-exclusive jurisdiction of the courts in Victoria.

This is the Privacy Policy for Blackfox Property, a privately-owned property development and investment business that operates in the areas of property development, investment and funds management. The Blackfox Property of companies includes Blackfox Property Pty Ltd ACN 617 850 772, the holder of Australian financial services licence number 534974, and its associated or related entities.

This Privacy Policy applies to all entities in Blackfox Property both in their personal capacity and in their capacity as trustee of any trusts, including any managed investment schemes operated by them from time to time (each a Fund).

  2. information and/or documentation to verify your identity for the purposes of the Anti-Money Laundering and Counter-Terrorism Financing Act 2006 (AML/CTF Act) and/or other legislation and regulations regarding identification verification, and tax reporting and withholding;
  3. information and/or documentation to support you qualifying as a ‘wholesale client’ or a ‘sophisticated investor’ for the purposes of the Corporations Act 2001 (Cth);
  4. your tax file number (as authorised under the tax laws and the Privacy Act) and bank account details;
  5. information that may allow us to evaluate whether to, and if we determined to do so, grant a lease or enter into agreements with you, and to manage our relationship with you as a tenant, including your rental history;
  6. information you provide when you apply for employment at Blackfox Property, including when providing a resume or completing new employee forms;
  7. any correspondence between you and us; and
  8. any other personal information you provide when you make an inquiry, request information or otherwise correspond with us.

How we collect your personal information

Unless it is unreasonable or impractical for us to do so, we will collect your personal information from you directly, including:

  1. from application forms, such as an application form completed by you to acquire a financial product or receive other financial services from us;
  2. through your use of our website, or any internal website or intranet, as well as any Blackfox Property social media page (collectively, the Website);
  3. from communications between you and our officers, employees and representatives (including communications conducted in person, over the phone, by email or otherwise); and
  4. from promotional and marketing activities undertaken by us, in which we request or otherwise receive personal information from you (such as from competitions organised by us).

However, we may also collect information about you from third parties, such as:

  1. your financial or other professional advisor or broker;
  2. your authorised representatives, such as executors or administrators;
  3. your referees, recruitment consultants, previous employers and other persons who may be able to provide information to assist in us deciding whether or not to make you an offer of employment;

All personal information we collect will be held securely and in accordance with this Privacy Policy.

Generally personal information is stored electronically with hard copy records retained and stored securely.  We will protect your personal information and prevent unauthorised access through the use of secure passwords, user logins, or other security procedures, including firewalls and anti-virus technology.  All external service providers engaged by Blackfox Property are required to hold personal information in accordance with the Privacy Act.

However, we cannot provide any assurance regarding the security of information transmitted to us online, as the internet is inherently insecure. Nor can we guarantee that the supply of information from you to us will not be intercepted. Information you transmit to us online is at your own risk.

We will take reasonable steps to securely destroy or de-identify personal information when it is no longer required or where we have received unsolicited personal information. However, we may be required by law to retain certain personal information for a specified period of time, after which we will securely destroy or delete the information.

Part IIIC of the Privacy Act established the Notifiable Data Breaches Scheme (NDB Scheme) in Australia. The NDB Scheme sets out obligations for notifying affected individuals and the Australian Information Commissioner about a data breach which is likely to result in serious harm. Where serious harm to affected individuals is likely, we will notify those individuals and the Commissioner in accordance with our legal obligations. The purposes for which we collect, hold, use and disclose personal information

The purposes for which we will collect, hold, use and disclose personal information from you will depend on your relationship with Blackfox Property. Blackfox Property primarily collects, holds, uses, and discloses personal information to:

  1. carry on our business and to provide our products and services;
  2. assess your application and establish and administer your investment in a Fund;
  3. effectively operate a Fund;
  4. verify your identity before transactions are processed, your instructions are carried out, or providing you with information about your investment, including as required to comply with our obligations under the AML/CTF Act and other legislation and regulations regarding identification verification, and tax reporting and withholding;
  5. provide you with information about other products or services offered by Blackfox Property;
  6. maintain our relationship with you, including to respond to your enquiries, feedback or complaints and provide you with requested information;
  7. assist with the administrative, marketing (including direct marketing), planning, product or service development, quality control or research purposes of us and our contractors and service providers;
  8. assist in determining whether to make you an offer of employment or engage you under a contract, and to manage your employment or contractual arrangement on an ongoing basis;
  9. evaluate whether to grant a lease or enter into agreements with you, and if you are a tenant, to manage the tenancy, maintain contact details and records, respond to queries or complaints, process transactions and for security and risk management purposes including incident investigation, loss prevention, claims management and litigation and to comply with any law or regulation; and
  10. prepare internal reporting that includes identifiable customer information (for example, customer sales or marketing information, complaints or issues reporting, registry operations reporting) to satisfy any legal requirements.

Disclosure of personal information

Personal information held by a Blackfox Property company may be disclosed to other Blackfox Property companies for the purposes described above, as well as to third parties, depending on the nature of your relationship with Blackfox Property. Personal information may be disclosed to:

  1. outsourced service providers and organisations involved in the provision of, management or administration of our products or services, including in relation to the operation or administration of a Fund (such as custodians, registries, administrators, mail houses, investor database or investment management platforms, payment processors, and information technology providers);
  2. auditors, consultants and other professional advisors (including accountants and lawyers);
  3. printers and mailing houses, information technology systems software providers, actuaries, and research organisations;
  4. government agencies and regulatory bodies, such as the Australian Securities and Investments Commission, the Australian Taxation Office, and the Australian Transaction Reports and Analysis Centre;
  5. financial services intermediaries, such as financial planners; and
  6. other third parties you have authorised to receive your personal information.

Prior to disclosing any of your personal information to an unrelated person or organisation, we will take all reasonable steps to satisfy ourselves that the person or organisation has a commitment to protecting your personal information at least equal to our commitment, or that you have consented to us making the disclosure.

We may disclose personal information to third parties who may be located overseas, including in European Union countries, the United States of America, Israel, and the United Kingdom. Our technology service providers may also store your personal information overseas, but only to the extent required to securely back-up data.
